1. Introduction
Welcome to Qubit Page. These Terms and Conditions govern your use of our website and services. By accessing or using our services, you agree to be bound by these terms.
Qubit Page Limited is a company registered in England and Wales (Company Number: 16186498). "Qubit Page" is a registered trademark.
2. Definitions
- "Services" refers to web development, conversion rate optimisation (CRO), SEO, digital marketing, and related software development services provided by Qubit Page Limited.
- "Client" means any individual or business entity that engages our Services.
- "Deliverables" means any work product, including but not limited to websites, applications, reports, and documentation.
- "Project" means any agreed scope of work between Qubit Page and the Client.
3. Services and Project Scope
3.1 All Services are provided as described in individual project proposals or service agreements.
3.2 Project scope, timelines, and deliverables will be agreed in writing before work commences.
3.3 Any changes to the agreed scope must be documented and may result in additional charges and timeline adjustments.
3.4 We reserve the right to subcontract work to qualified third parties when necessary.
4. Pricing and Payment
4.1 All prices are quoted in British Pounds Sterling (GBP) unless otherwise stated.
4.2 Prices exclude VAT unless explicitly stated.
4.3 Payment terms are Net 14 days from invoice date unless otherwise agreed.
4.4 For projects, a deposit of 50% is typically required before work commences, with the balance due upon completion.
4.5 Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5. Intellectual Property
5.1 Upon full payment, intellectual property rights in bespoke Deliverables transfer to the Client, except for:
- Pre-existing materials and third-party components
- Our proprietary tools, frameworks, and methodologies
- Open-source software components (subject to their respective licenses)
5.2 We retain the right to use project work in our portfolio unless agreed otherwise in writing.
5.3 All trademarks, including "Qubit Page", remain the property of Qubit Page Limited.
6. Client Responsibilities
6.1 Clients must provide all necessary materials, content, and access required for project delivery in a timely manner.
6.2 Clients are responsible for obtaining appropriate licenses for any third-party content they provide.
6.3 Delays caused by Client unavailability may result in project timeline extensions.
6.4 Clients must review and provide feedback within agreed timeframes.
7. Warranties and Disclaimers
7.1 We warrant that Services will be performed with reasonable skill and care.
7.2 We do not guarantee specific results from CRO, SEO, or marketing services, as outcomes depend on many factors beyond our control.
7.3 Websites and applications are tested on current major browsers but may not function identically on all platforms or legacy systems.
7.4 We are not responsible for third-party service outages (hosting, APIs, etc.).
8. Limitation of Liability
8.1 Our total liability for any claim shall not exceed the fees paid for the relevant Service.
8.2 We shall not be liable for any indirect, consequential, or incidental damages, including loss of profits, data, or business opportunities.
8.3 Nothing in these terms excludes liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
9. Confidentiality
9.1 Both parties agree to keep confidential any proprietary information shared during the engagement.
9.2 Confidentiality obligations survive termination of any agreement.
9.3 This obligation does not apply to information that becomes publicly available through no fault of the receiving party.
10. Termination
10.1 Either party may terminate with 30 days written notice for ongoing services.
10.2 We may terminate immediately if the Client breaches these terms or fails to make payment.
10.3 Upon termination, the Client shall pay for all work completed to date.
10.4 Deposits are non-refundable unless we are unable to commence the agreed work.
11. Force Majeure
Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, or government actions.
12. Governing Law and Disputes
12.1 These terms are governed by the laws of England and Wales.
12.2 Any disputes shall first be attempted to be resolved through good faith negotiation.
12.3 If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be notified via email or website notice. Continued use of our Services constitutes acceptance of updated terms.
